1. Acceptance of Terms
By accessing or using NovaGear ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
2. Description of Service
NovaGear is a cloud-based equipment maintenance management platform. The Service includes equipment tracking, service scheduling, work order management, DOT compliance tools, reporting, and related features as described on our website. We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.
3. Accounts and Access
You are responsible for maintaining the security of your account credentials. You must provide accurate and complete information when creating an account. You are responsible for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.
4. Payment and Billing
Paid plans are billed monthly based on the number of equipment units in your account. Prices are listed on our pricing page and may change with 30 days notice. You authorize us to charge your payment method on file for recurring subscription fees.
- Free accounts (up to 5 equipment) do not require a payment method
- Refunds are available within 30 days of any charge
- Unpaid accounts may be suspended after 15 days past due
5. Your Data
You retain ownership of all data you enter into NovaGear. We do not claim any intellectual property rights over your content. You grant us a limited license to store, process, and display your data solely to provide the Service. You can export your data at any time using our export tools.
6. Acceptable Use
You agree not to:
- Use the Service for any illegal purpose
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Resell or redistribute the Service without written permission
- Upload malicious code or content
7. Termination
You may cancel your account at any time. Upon cancellation, your data is retained for 90 days, then permanently deleted. We may terminate or suspend your account for violations of these terms, with notice where practical. Upon termination, your right to use the Service ceases immediately.
8. Limitation of Liability
To the maximum extent permitted by law, NovaGear and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure. NovaGear is a maintenance management tool and does not replace professional mechanical inspection or legal compliance advice.
10. Governing Law
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
11. Changes to Terms
We may update these terms from time to time. Material changes will be communicated via email or in-app notice at least 30 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance.
